(Nasdaq: SWKS) (“Skyworks”), a leading developer, manufacturer and provider of analog and mixed-signal semiconductors and solutions for numerous applications, today announced the expiration and final results of its previously announced offers to holders of Qorvo Notes (as defined herein) to exchange (the “Exchange Offers”) any and all outstanding 4.375% Senior Notes due 2029 (the “2029 Qorvo Notes”) and any and all outstanding 3.375% Senior Notes due 2031 (the “2031 Qorvo Notes” and, together with the 2029 Qorvo Notes, the “Qorvo Notes”) issued by Qorvo, Inc. I rate Skyworks Solutions a Buy, with a price target of $123.11 per share, representing approximately 40% upside from the current share price. The Qorvo merger addresses several standalone issues by adding scale, broader end-market exposure, and a larger customer base. The combined company could generate at least $500 million in annual cost synergies, with additional benefits from better manufacturing utilization and a larger R&D platform.

Skyworks Solutions (SWKS -3.06%) could emerge from its combination with Qorvo with greater scale, broader markets, and a significantly different earnings profile. The opportunity hinges on whether management can capture $500 million in planned synergies, expand beyond smartphones, and manage the additional debt.
