The gross proceeds from the Offering, before deducting underwriting discounts and commissions and other estimated offering expenses payable by Ring, are expected to be approximately $60 million, excluding any exercise of the underwriters' option to purchase additional shares. The Company has granted the underwriters a 30-day option to purchase up to an additional 6,666,666 shares of its common stock upon the same terms. The Offering is expected to close on or about May 14, 2026, subject to customary closing conditions.
