(the "Issuer"), priced its offering of $500 million in aggregate principal amount of 5.875% Senior Notes due 2033 (the "Notes") on November 6, 2025 in a private placement (the "Notes Offering") exempt from registration under the Securities Act of 1933, as amended (the "Securities Act"). The Company also announced that it priced its new senior secured incremental term loan facility in an aggregate principal amount of $1,200 million (the "Incremental Term Loan Facility"), which will bear interest at a rate of Term SOFR plus 1.75%.
